Partner Agreement

Introduction
This Partner Agreement (the "Agreement") sets the terms under which an approved independent cleaning business ("Partner", "you", "your company") receives cleaning job opportunities through the RI Clean Co. platform. RI Clean Co. operates a managed cleaning job opportunity marketplace and coordination platform that connects approved cleaning partners with qualified cleaning job opportunities. RI Clean Co. is not a traditional cleaning company employer. This Agreement is platform-ready draft language and is not legal advice.
Independent Business Relationship
Your company is an independent business and not an employee, agent, joint venturer, or franchisee of RI Clean Co. Nothing in this Agreement creates an employment relationship. Your company controls its own staff, scheduling within accepted job windows, tools, supplies, equipment, methods, taxes, licensing, and day-to-day operations.
Partner Eligibility and Business Responsibilities
To remain eligible to receive job opportunities, your company must operate as a legitimate cleaning business, maintain required licenses, carry current insurance, comply with applicable laws, and keep contact, coverage, availability, and insurance information current in the platform.
No Guarantee of Work
RI Clean Co. does not guarantee any minimum number of job opportunities, hours, revenue, or any particular schedule. Job opportunity volume varies with customer demand, coverage, availability, quality, response time, and other factors.
Job Opportunities; Accept or Decline Model
RI Clean Co. presents cleaning job opportunities through the platform. Your company may accept or decline any available job opportunity. Once you accept a job, you are expected to perform it on time, within the scheduled window, and in accordance with the job details, customer requirements, and RI Clean Co. service standards. Repeated declines, no-shows, or late cancellations may affect future routing or platform standing.
Sequential Routing and Broadcast Routing
Standard routing may be sequential — one preferred or best-fit partner may receive a job opportunity first, and if accepted, the job may be locked to that partner. If the opportunity is declined, the partner is unavailable, or the offer expires, the opportunity may move to the next eligible partner. For urgent, same-day, hard-to-fill, previously declined, or manually escalated jobs, RI Clean Co. may use broadcast routing, in which multiple eligible partners may receive the opportunity, the first partner to accept may receive the job, and other pending offers may expire.
Customer Quotes, Job Access Fees, and Platform-Defined Terms
RI Clean Co. sets or controls the customer quote logic and the platform-defined job terms for every job opportunity presented through the platform. Partners do not set rates, bid, submit desired payouts, or tell RI Clean Co. what they charge through the platform, and are not asked what they want to make. Each opportunity shows the job details and the platform-defined terms; your company may accept or decline. RI Clean Co. may charge partners job access fees, accepted-job fees, platform fees, partner access fees, or similar internal marketplace fees. Customer quotes, platform-defined terms, and fees may change over time as RI Clean Co. updates its internal rules.
Partner Responsibilities After Accepting a Job
Arrive on time, in a clean and presentable manner, with all supplies, equipment, and personnel required to complete the accepted scope. Communicate professionally with customers and RI Clean Co. staff. Escalate issues to RI Clean Co. rather than to the customer. Follow current RI Clean Co. service standards, policies, and job requirements as published or updated.
Service Quality and Customer Experience
Customer experience is core to the platform. Quality, reliability, communication, on-time arrival, and resolution of complaints all factor into ongoing eligibility for job opportunities. Your company is responsible for the conduct of its staff and subcontractors on every accepted job.
Insurance, Licenses, Taxes, Supplies, Equipment, and Personnel
Partner must maintain current General Liability insurance (at least $1,000,000 per occurrence) and Workers' Compensation coverage where required by state law, plus any licenses required for the services performed. Upload renewal certificates before expiration. RI Clean Co. may pause job opportunities if coverage lapses. Your company supplies its own cleaning products, equipment, vehicles, and personnel and is solely responsible for hiring, supervising, paying, and managing its workers and for all taxes, withholdings, and benefits related to its business and workforce.
Scheduling, Cancellations, Missed Appointments, and Service Failures
Late cancellations, no-shows, and incomplete jobs harm customers and the network. Repeated failures may result in fee adjustments, removal from preferred routing, suspension, or deactivation. Partner must notify RI Clean Co. as early as possible when an accepted job cannot be performed as scheduled.
Customer Data, Privacy, and Confidentiality
Customer information shared through the platform is provided only to perform accepted jobs. Partner shall keep customer information confidential, use it only for the assigned job, and not store, export, share, or re-use it for any other purpose.
No Customer Poaching / Non-Solicitation
During the partnership and for twenty-four (24) months after termination, Partner agrees not to directly or indirectly solicit, contact, or accept off-platform work from customers introduced through RI Clean Co.
Reviews, Complaints, Re-Cleans, and Disputes
RI Clean Co. coordinates resolution of customer complaints, including re-cleans where appropriate. Partner agrees to cooperate in good faith, perform reasonable re-cleans for issues attributable to the original visit, and follow RI Clean Co.'s dispute process rather than contacting the customer directly about disputed work.
Platform Access, Suspension, and Deactivation
RI Clean Co. may deactivate, suspend, limit, or remove Partner's access at any time for quality, reliability, insurance, safety, customer complaint, fraud, misuse, policy violation, business reasons, or any reason permitted by law. Partner may stop accepting job opportunities at any time.
Agreement Updates and Current Terms
RI Clean Co. may update this Partner Agreement from time to time. The current version will always be available on this page. If RI Clean Co. makes material changes, RI Clean Co. may require partners to review and acknowledge the updated terms before receiving or accepting additional job opportunities. Continued use of the platform or acceptance of job opportunities after updated terms are posted may constitute acceptance of the updated terms, except where additional acknowledgement is required by RI Clean Co. or applicable law. Electronic Acknowledgement
By submitting a partner application, completing onboarding, checking the acknowledgement box, electronically signing, continuing to use the platform, or accepting job opportunities, you acknowledge that you have read, understand, and agree to this Partner Agreement, as applicable to your use of the RI Clean Co. platform.
